1. Acceptance of Terms

These Terms of Use (the “Agreement”) constitute a legally binding contract between TMH Innovations LLC (“TMH Innovations,” “we,” “our,” or “us”) and any person or entity (“User,” “Customer,” or “you”) accessing or using our website, purchasing our services, or utilizing any related systems. By doing so, you acknowledge acceptance of these Terms.

2. Eligibility and Use of Services

Use of the Services is also governed by the TMH Innovations Privacy Policy, available at https://tmhinnovations.com/privacy-policy, which is incorporated into this Agreement by reference.

Services are for business use by individuals over 18 years old within the U.S. You represent you have authority to contract and agree to lawful use.

3. Account Registration and Security

You agree to maintain accurate information, safeguard credentials, and accept responsibility for all activity under your account.

4. Payments, Subscriptions, and Billing

All payments are processed via Stripe or any other integrated processor. Subscriptions renew automatically unless canceled. You authorize recurring charges and acknowledge payments are non-cancelable and non-refundable except as required by law.

5. Refunds and Cancellations

All payments are due in advance and non-refundable once processed. Month-to-month subscriptions may be canceled effective at the end of the current billing cycle. Annual subscriptions or waived startup fees require a 12-month commitment; early termination incurs immediate balance or waived-fee reinstatement. Setup and surge fees are non-refundable once service configuration begins. TMH Innovations provides no refunds for performance, leads, or results. Chargebacks without proper procedure constitute breach and may result in suspension.

6. Service Modifications and Termination

TMH Innovations may terminate Services for convenience with thirty (30) days’ notice or immediately for cause, including non-payment, misuse, or violation of applicable law.

We may modify or discontinue services at any time. Failure to comply or pay may result in termination and immediate payment of outstanding amounts.

7. AI and Automation Disclaimer

TMH Innovations is not liable for AI-generated content or automated actions. Users are responsible for reviewing and approving automated outputs before use.

8. Intellectual Property Rights

Certain Services rely on third-party integrations (including but not limited to GoHighLevel, Google, Meta, Twilio, Stripe, and OpenAI). TMH Innovations does not control and is not responsible for the availability, functionality, or performance of third-party platforms. Continued operation of integrated services depends on those third parties.

All systems, code, designs, and content remain TMH Innovations property. Users receive a limited license for internal business use only. Reverse engineering or redistribution is prohibited.

9. Affiliate Program and Disclosures

TMH Innovations may operate an affiliate program; participation is subject to separate affiliate terms. Affiliates must comply with FTC disclosure requirements. Our website may contain outbound affiliate links, for which TMH Innovations may earn commissions at no additional cost to users. TMH Innovations disclaims responsibility for external content.

10. Disclaimer of Warranties

TMH Innovations does not guarantee specific marketing outcomes, lead volumes, conversions, or revenue performance from any automation, advertising, or AI-powered services. Customer acknowledges that results depend on multiple external factors beyond TMH Innovations’ control.

The Services are provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

11. Limitation of Liability

TMH Innovations shall not be liable for indirect or consequential damages. Total liability shall not exceed fees paid during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TMH Innovations LLC, its officers, agents, and employees from any claims arising from your use of Services or breach of this Agreement.

13. Arbitration and Class Action Waiver

Disputes arising from this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association in Marion County, Indiana. You waive any right to participate in a class action or collective proceeding.

14. Governing Law and Venue

Force Majeure: TMH Innovations shall not be liable for delays or failures in performance due to events beyond its reasonable control, including natural disasters, power outages, third-party service interruptions, or government actions.

This Agreement is governed by the laws of the State of Indiana, without regard to conflicts of law. Venue for any proceedings shall be in Marion County, Indiana.

15. Changes to Terms

TMH Innovations may revise these Terms at any time by posting updates to our website. Continued use constitutes acceptance of changes.
